1. Acceptance of Terms

By accessing or using SwissPay Africa's services, including our mobile application, wearable devices, and payment platform (collectively, the "Services"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our Services.

2. Description of Services

SwissPay provides an offline-first payment platform that enables users to:

  • Make and receive payments without internet connectivity
  • Use NFC-enabled devices (phones and wearables) for contactless transactions
  • Access a SoftPOS solution that turns NFC Android phones into payment terminals
  • Process payments for goods and services in Nigeria

3. Eligibility

To use SwissPay Services, you must be at least 18 years of age and legally capable of entering into binding contracts. By using our Services, you represent and warrant that you meet these eligibility requirements.

4. Account Registration

To access certain features of our Services, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Keep your login credentials secure and confidential
  • Notify us immediately of any unauthorized access to your account
  • Be responsible for all activities that occur under your account

5. Transaction Fees

SwissPay charges a transaction fee on all payments processed through our platform. This fee is deducted automatically from each transaction. Additional terms:

  • No hidden charges or monthly subscription fees for the basic SwissPay App
  • Wearable device purchases are subject to separate pricing
  • All fees are displayed in Nigerian Naira (NGN)

6. Prohibited Activities

You agree not to use the Services for:

  • Any unlawful purpose or illegal activities
  • Money laundering or terrorist financing
  • Fraudulent transactions or deceptive practices
  • Circumventing any security measures of the platform
  • Interfering with or disrupting the Services
  • Reverse engineering or attempting to extract source code

7. Intellectual Property

All content, trademarks, logos, and intellectual property related to SwissPay are owned by SwissPay Africa or its licensors. You may not copy, modify, distribute, or create derivative works without our express written permission.

8. Limitation of Liability

To the maximum extent permitted by law, SwissPay Africa shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services. Our total liability shall not exceed the amount of fees paid by you in the 12 months preceding the claim.

9. Dispute Resolution

Any disputes arising from these Terms or your use of the Services shall be resolved through good-faith negotiation. If a resolution cannot be reached, disputes shall be submitted to binding arbitration in Lagos, Nigeria, in accordance with Nigerian arbitration laws.

10. Modifications to Terms

SwissPay reserves the right to modify these Terms at any time. We will notify users of material changes via email or through the app. Your continued use of the Services after such modifications constitutes acceptance of the updated Terms.
